You in this role

Reporting to the Senior Manager of the Lending Unit, the Lending Unit Legal Counsel contributes to the overall success of the GMF’s funding process by supporting its established operations through application of legal expertise. The purpose of this role is to ensure legal and regulatory compliance and mitigate risks associated with FCM lending and funding activities to municipalities and non-municipal entities. Additionally, the Lending Unit’s Legal Counsel’s mandate focuses on facilitating legal and regulatory compliant transactions, mitigating legal risks, and strengthening FCM’s reputation for reliability and adherence to legal standards.

What you’ll be doing

  • Manages the transactional aspect of GMF lending contracts, including the negotiation, structuring, drafting, and amendments of contracts, occasionally in conjunction with external counsel.
  • Establishes and monitors all legal policies and procedures for GMF staff including agreement templates, guidelines and interpretation tools, to ensure continuous improvement and compliance with GMF funding agreement and applicable legislation.
  • Identifies when to engage specialized external Legal Counsel on complex files and to supplement internal capacity when volume is high. 
  • Builds internal knowledge and capacity of legal policies and practices through regular training sessions with Client Services, Funding and Investment (CSFI) unit staff, to ensure awareness of legal requirements and risk mitigation strategies.
  • Prepares contract templates in English and French for the GMF Lending Unit.
  • Prepares customized contracts and amendments as required for the Client and Funding Services team within GMF.
  • Negotiates GMF funding agreements with GMF clients, as appropriate, to ensure that GMF is placed in a legally desirable position.
  • Serves as lead representative on behalf of GMF for contract negotiation with certain municipal finance authorities and municipal finance corporations. 
  • Advises senior management in the development of external and internal positions, policies, procedures, operations and transactions related to GMF’s lending activities, manages legal risks within acceptable levels in an efficient and cost-effective manner and ensures that GMF complies with its governing documents (i.e., GMF Funding agreement) and applicable legislation.
  • Conducts legal research and analysis to stay abreast of developments in municipal law, credit lending regulations, and relevant legislative changes impacting the GMF’s mandate.
  • Collaborates closely with internal departments, such as Client and Funding Services, Finance, and Lending Unit and the Risk and Compliance Unit, to assess legal risks and opportunities associated with municipal projects and credit lending activities.
  • Works collaboratively to develop comprehensive strategies for legal compliance and risk mitigation, ensuring alignment with organizational objectives and regulatory requirements.

You bring:   

 

Education:

  • Baccalaureate of Laws (LL.B.) or equivalent from a recognized and accredited university.
  • Certificate of Standing

Experience:  

  • 5-8 years of corporate/commercial experience from a major law firm or organization where the candidate obtained commercial law experience including excellent contract drafting, analytical, writing, and negotiation skills.
  • Experience with commercial loan transactions, including structuring, drafting, and negotiating loan agreements.
  • Experience with legal matters pertaining to affordable and social housing, particularly addressing different types of governance structures, including land trusts, charitable corporations, faith-based organizations, and joint ventures would be an asset. 

Knowledge: 

  • Knowledge of the law as it applies to intellectual property ownership/licensing, and municipal law would be an asset.
  • Knowledge of the law as it applies to not-for-profit organizations and service organizations.
  • Knowledge of government funding and other funding initiatives structured to support affordable housing, sustainable municipal buildings, organic waste-to-energy, community energy systems and property assessed clean energy programs. 

Competencies:

  • Demonstrated experience in drafting commercial agreements in English and French.
  • Strong written and verbal communications skills in English and French are required.
  • Ability to quickly analyze and synthesize complex situations and creatively problem solve.
  • Capable of building relationships with a wide variety of stakeholders including senior management, staff and other third parties (e.g., consultants, contractors, partners, etc.).
  • Ability to multi-task in a fast-paced environment including dealing effectively with competing priorities.
